Terms of Use

1. Acceptance of Terms

By creating an account, checking the Terms and Privacy acceptance box, signing in, or using AsimovBox, operated by Ockham Labs Inc. ("Company", "we", "us"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. Beta Status

AsimovBox is a beta product. This means:

• Features may change, break, or be removed without notice
• Service availability is not guaranteed
• Data may be lost due to bugs, migrations, or infrastructure changes
• AI-generated outputs may be inaccurate, incomplete, or inappropriate
• We make no guarantees regarding uptime, reliability, or fitness for any purpose

You use AsimovBox entirely at your own risk. Do not rely on AsimovBox as your sole source for critical business decisions, legal documents, financial analysis, or any high-stakes output without independent verification.

3. Description of Service

AsimovBox is an AI-powered platform that includes:

• AI agents and workflows for research, analysis, and deliverable generation
• Deck, document, infographic, worksheet, document review, and source-preparation tools
• Knowledge Base storage, chat, extraction, and retrieval workflows
• Redaction, transcript extraction, browser/private-file extraction, and related source preparation tools
• Prepaid credit and subscription plan billing for AI and related features

4. Account Registration

• You must sign in via Google or LinkedIn OAuth
• You must be at least 16 years old
• You are responsible for all activity under your account
• You must provide accurate account information and keep your OAuth account secure

5. Billing

• AsimovBox uses prepaid credits, plan credits, and subscription plans for paid features
• Charges may be deducted for AI agents, decks, documents, infographics, worksheets, document reviews, redaction, transcription, extraction, uploads, exports, retries, support services, and related workflows
• Balance reserves may be placed when a job starts and settled, released, or adjusted when it completes or fails
• No refunds for successfully delivered AI outputs
• Unused balance may be refunded upon request at our discretion
• We may apply rate limits, quotas, balance checks, or abuse-prevention controls to protect users and control third-party API costs

6. Acceptable Use

You agree NOT to:

• Create illegal, harmful, or infringing content
• Attempt to circumvent billing or security measures
• Reverse engineer our technology
• Use automated systems to access the service without permission
• Abuse AI agents to generate harmful, misleading, or fraudulent outputs
• Upload content you do not have the right to process, redact, transform, or submit to AI systems
• Upload malicious files, secrets, credentials, regulated data, or third-party confidential information unless you are authorized and the applicable AsimovBox controls are appropriate for that use
• Probe, scrape, overload, or attack AsimovBox, our providers, or other users' data

7. Intellectual Property

You retain ownership of content you submit and create. You grant us a limited license to store, process, transmit, transform, display, and reproduce your content as needed to provide AsimovBox, operate support, enforce security, and comply with law. The AsimovBox platform, its code, design, prompts, workflows, orchestration, catalog, and AI integrations are the property of Ockham Labs Inc.

8. AI-Generated Content

• AI outputs may be inaccurate, biased, or hallucinated
• You are solely responsible for reviewing and verifying all AI-generated content
• We do not warrant the accuracy, completeness, or suitability of any AI output
• Do not use AI outputs for critical decisions without independent professional review
• Generated outputs may require human review for formatting, financial assumptions, legal/compliance accuracy, confidentiality, and suitability for your use case

9. Source Preparation, Redaction, and Private File Modes

Source Prep Labs, redaction, transcription, browser extraction, and private-file workflows are tools to help prepare content. They are not a guarantee that all sensitive information has been removed, that all files were processed perfectly, or that outputs are legally compliant. You are responsible for reviewing redacted or extracted outputs before using or saving them.

10. Training-Ready and Monetizable Traces

If available, training-ready or monetizable trace features are opt-in per deliverable. You must confirm you own or have sufficient rights to the content and that it does not include employer, client, or third-party confidential material you are not allowed to contribute. Marking a deliverable final, adding annotations, or approving export eligibility may allow AsimovBox to prepare redacted dataset packages under the applicable consent flow. You may revoke future eligibility where the product provides that control, but revocation does not undo lawful prior processing, billing records, provider logs, or exports already completed where legally permitted.

11. Third-Party Services and Integrations

AsimovBox relies on third-party providers for AI processing, storage, hosting, payments, email, transcription, redaction, and other functionality. Your use of features that call those providers is subject to their availability and applicable terms. We are not responsible for outages, model behavior, provider limitations, or changes made by third parties.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• AsimovBox is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
• We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of data, revenue, profits, or business opportunities
• Our total aggregate liability shall not exceed the amount you paid us in the preceding 3 months
• We are not responsible for errors, omissions, or inaccuracies in AI-generated content

13. Indemnification

You agree to indemnify and hold harmless Ockham Labs Inc., its officers, directors, and employees from any claims, damages, or expenses arising from your use of the service, your content, or your violation of these terms.

14. Termination

We may suspend or terminate your account at any time, with or without cause, during the beta period. Upon termination, your access is revoked and your data may be deleted.

15. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Ontario, Canada.

16. Changes

We may update these terms at any time. Continued use after changes constitutes acceptance. During beta, changes may happen frequently.

17. Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.
